Terms of Service

These Terms of Service (the “Terms”) govern all photography services provided by Lumina Studio (“we”, “us”, “our”) to clients in Canada. By booking, paying a deposit, or receiving deliverables, you agree to these Terms.

Bookings & Payments

All prices are in CAD. A non-refundable deposit may be required to secure your date. Invoices include applicable GST/HST based on your province.

Deposits & Invoices

Dates are confirmed only after deposit receipt and written confirmation. Deposits are applied to the final invoice and are non-transferable unless we agree in writing.

Payment Methods & Taxes

We accept major cards and e‑Transfer. GST/HST and any applicable PST/QST are calculated according to the service location in Canada and itemized on invoices.

Balance Due

The remaining balance is due on or before the shoot date unless otherwise specified. Late payments may accrue 2% monthly interest (24% annually) where permitted by law.

Rescheduling & Cancellation

We allow one complimentary reschedule with 48-hour notice. Cancellations within 48 hours may incur a fee.

Reschedule Policy

One complimentary reschedule is permitted if requested in writing at least 48 hours before the session. Additional reschedules may require a new deposit, subject to availability.

Cancellation Policy

Cancellations within 48 hours of the session may be charged up to 50% of the remaining balance to cover allocated time and preparation. No-shows are treated as cancellations.

Weather & Force Majeure

For outdoor shoots, we may propose alternative locations or dates due to severe weather. Neither party is liable for delays caused by events beyond reasonable control.

Licensing & Usage

Unless otherwise stated, clients receive a standard commercial or personal license. Extended usage requires an additional license.

Standard License

Personal: non-transferable, non-exclusive rights for personal display and social media (non-promotional). Commercial: non-exclusive rights for internal, website, organic social, and printed marketing up to 100,000 impressions.

Extended License

Required for broadcast, paid media, out-of-home, packaging, or impressions exceeding the standard scope. Contact us for pricing and territory (Canada/North America/Global).

Attribution & Moral Rights

We appreciate credit where practical. We retain copyright and moral rights unless a written assignment is executed. Sub-licensing requires our written consent.

Third‑Party Rights

Client is responsible for obtaining necessary third‑party permissions (e.g., venues, trademarks). We can arrange model/property releases upon request; fees may apply.

Deliverables

Edited images are delivered via secure online gallery. Raw files are not included unless agreed in writing.

Turnaround Time

Proofs typically within 3–7 business days; finals within 7–14 business days after selections. Rush delivery may be available at an additional fee.

Delivery Method

Images are delivered via a secure, time‑limited gallery link. Download links remain active for at least 14 days; please archive promptly.

Raw Files

Raw files are not provided unless explicitly included in your booking confirmation. Where provided, raw files are licensed for internal review only unless otherwise agreed.

Archival

We attempt to retain backups for 60 days following delivery but do not guarantee indefinite storage. Additional archive retrieval fees may apply.

Acceptable Use

Clients agree not to use images for unlawful or defamatory purposes and to comply with Canadian advertising standards.

Prohibited Uses

No unlawful, defamatory, misleading, or hateful content. No resale or sub‑licensing except as expressly licensed. No use implying endorsement without written approval.

AI Training & NFTs

Unless an extended license permits, images may not be used to train AI models or be minted/sold as NFTs.

Privacy & Cookies

We use essential cookies to operate the site and, with your consent, may use analytics and marketing cookies to improve services.

Data Retention

Contact details and booking records are retained as required by Canadian tax and business laws. You may request access or deletion subject to legal obligations.

Model & Property Releases

Client warrants they have authority to grant permissions for all subjects and locations or will notify us to arrange releases as needed.

Liability & Indemnity

Limitation of Liability

To the maximum extent permitted by law, our total liability is limited to the amount paid for the specific services giving rise to the claim.

Indemnity

Client agrees to indemnify and hold us harmless against claims arising from materials or instructions supplied by the client.

Governing Law & Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Venue is Toronto, Ontario.

Dispute Resolution

Good‑Faith Resolution

Parties will first attempt to resolve disputes through good‑faith discussions within 30 days of notice.

Arbitration

If unresolved, disputes shall be referred to confidential arbitration in Toronto under the Arbitration Act, 1991 (Ontario), with one arbitrator.

Changes to Terms

We may update these Terms from time to time. Material changes will be noted with a new effective date. Continued use after changes constitutes acceptance.

Miscellaneous

Severability

If any provision is held invalid, the remaining provisions remain in full force and effect.

Assignment

Neither party may assign rights or obligations without prior written consent, except to a successor in interest.

Definitions

“Client” means the person or entity ordering services. “Deliverables” means edited images we supply. “License” means the usage rights granted to the client.
